The Position

NorthStar Holdings is a portfolio of structured intellectual property — the Verimax synthesis architecture, the four commercial engines (TCC, PAIR-X, iLOGIX, Verdact), and the NorthStar IMS foundational capability platform (TOWER, M8, Ascension), held by an Australian-domiciled discretionary trust. BPS — a workflow automation platform — sits separately under BrightPlan Studio Pty Ltd, a registered operating company within the same beneficial structure.

The analytical engines produce structured evidence records. They are built with discipline, written to a standard, and engineered for inspection. This disclaimer states what that means and, just as importantly, what it does not mean.

The Engines Produce Evidence, Not Advice

The outputs of the analytical engines — a Trust Score, a Diligence Evidence Pack, a Decision Governance Report, an Audit Readiness Pack, a Capability Architecture Score, a Unified Veracity Score — are structured analytical instruments. They surface evidence dimensions in a defined, repeatable architecture. They do not constitute legal, financial, investment, audit, taxation, insurance, or compliance advice. Where an engine output intersects regulation, transaction, or care obligation, qualified professional review by the appropriate licensed practitioner is the necessary next step. The engines prepare the ground. They do not occupy it.

The Portfolio Is Not Accredited

NorthStar Holdings Trust is not a registered auditor, tax agent, financial services licensee, insurance provider, legal practice, NDIS Quality and Safeguards Commission–approved provider, or Aged Care Quality and Safety Commission–approved provider. The engines are preparation instruments. They do not certify compliance with any law, standard, or regulatory regime. Where a regulatory framework is referenced — for instance, the NDIS Practice Standards within Verdact — the authoritative version of that framework is the one issued by the relevant regulator, not the analytical record produced by the engine.

Outcomes Belong to the Engaging Party

An engine output is an input — to a decision, a transaction, an audit response, a board paper, a procurement evaluation. The decision that follows belongs to the engaging party. NorthStar Holdings does not promise audit outcomes, regulator outcomes, transaction outcomes, or vendor selections. It promises the integrity of the instrument and the discipline of its construction.

Submissions Carry the Truth

Every engine output is computed against the submission the engaging party provides. Accuracy, completeness, and good faith of that submission rest with the engaging party. Where a submission is thin, the engines are written to say so within the output rather than fabricate. NorthStar Holdings does not independently verify submitted evidence except where verification is specifically scoped in writing as part of the engagement.

Verdact Sits in a Regulated Sector

Verdact is currently scoped to the Australian NDIS Practice Standards. It is a preparation instrument for registered NDIS providers approaching certification audit, verification audit, or routine Commission scrutiny. It is not an audit. It is not conducted by an approved auditor. It does not register or de-register providers. Its score and gap analysis are structured inputs to a provider's own audit-readiness work — not substitutes for it.

BPS Is a Separate Asset, Separately Governed

BPS — the workflow automation platform — is owned and operated by BrightPlan Studio Pty Ltd, a separately registered Australian operating company (ABN 99 690 991 489, ACN 690 991 489). BPS is software, not an analytical instrument. The "evidence, not advice" framing above does not apply to BPS. BPS facilitates workflows configured by its users; accountability for those workflows remains with the user. Subscription terms applicable to BPS are issued by BrightPlan Studio Pty Ltd separately and govern the BPS relationship in their own right.

Published Material Is Reference, Not Engagement

The content of the NorthStar Holdings web estate — the Resources library, the engine descriptions, the founder voice — is published for the reader's general information. It is not advice. It is not engagement. Reliance on it in any specific factual situation requires direct written engagement with the Director. Where a written engagement proposal contains terms specific to that engagement, those terms supersede this general disclaimer to the extent of any inconsistency.

Discipline Has Limits

The portfolio is built to a standard. Standards are not warranties. To the maximum extent permitted by Australian law, NorthStar Holdings Trust makes no warranty, express or implied, regarding the suitability, accuracy, or fitness for any particular purpose of any output or material produced or made available through the web estate or through engagement. Nothing in this disclaimer purports to exclude, restrict, or modify any consumer guarantee or right under the Australian Consumer Law where that right cannot be excluded by law.
